This End User License Agreement ("Agreement") governs use of the PS Connector, a software application developed and operated by Promotional Spring, Inc. ("Promotional Spring") for its own internal business use.
The PS Connector is an internal tool built for Promotional Spring. It is not licensed, sold, or distributed to outside customers, partners, or the general public. Use is limited to authorized Promotional Spring employees acting in the course of their duties.
Subject to the terms below, Promotional Spring grants authorized employees a limited, non-exclusive, non-transferable, revocable license to use the PS Connector solely for internal Promotional Spring business purposes.

The PS Connector, including all underlying code, configuration, and documentation, is the property of Promotional Spring. Use of the PS Connector does not transfer any ownership rights.
The PS Connector connects to QuickBooks Online (Intuit) and Microsoft 365 (Microsoft) through their published APIs. Use of those services is subject to Intuit's and Microsoft's own terms. Promotional Spring is not responsible for changes to, or outages of, those third-party services.
The PS Connector is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, whether express, implied, or statutory. Promotional Spring disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. Promotional Spring does not warrant that the PS Connector will be error-free, secure against all threats, or available at all times.
To the fullest extent permitted by law, Promotional Spring will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the PS Connector. Promotional Spring's total liability under this Agreement, regardless of the cause of action, will not exceed one hundred U.S. dollars ($100).
Promotional Spring may suspend or terminate access to the PS Connector at any time, for any reason, with or without notice. On termination, all rights granted under this Agreement end immediately.
This Agreement is governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute arising under this Agreement will be resolved in the state or federal courts located in Montgomery County, Ohio, and the parties consent to the exclusive jurisdiction of those courts.
This Agreement is the entire understanding between Promotional Spring and any user of the PS Connector regarding its subject matter and supersedes any prior or contemporaneous agreements on that subject.
